Terms of Service

These Terms of Service constitute a legally binding agreement between you, whether personally or on behalf of an entity ('you'), and Luxor ('Company,' 'we,' 'us,' or 'our'), concerning your access to and use of the Luxor application and all associated services, features, content, and functionality.

Luxor is a platform that connects content creators with brands and businesses to facilitate authentic marketing collaborations. Our services include creator-brand matching, campaign management, performance analytics, and payment processing. We reserve the right to modify, suspend, or discontinue any part of our services at any time.

Unless otherwise indicated, the platform and all its original content, features, and functionality are and will remain the exclusive property of Luxor and its licensors. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Luxor.

Creators retain ownership of their original content. By posting content through Luxor campaigns, you grant us a non-exclusive, royalty-free, worldwide license to use, display, and distribute such content solely for the purposes of operating and promoting the platform.

By using the platform, you represent and warrant that: (1) all registration information you submit is true, accurate, current, and complete; (2) you will maintain the accuracy of such information; (3) you are at least 18 years of age; (4) you have the legal capacity to agree to these Terms; (5) you will not access the platform through automated or non-human means; and (6) your use of the platform will not violate any applicable law or regulation.

You must register an account to access full platform features. You agree to keep your login credentials confidential and are responsible for all activity that occurs under your account. You must notify us immediately of any unauthorized use. Luxor reserves the right to remove, reclaim, or change a username we determine is inappropriate, obscene, or otherwise objectionable.

Creators who participate in campaigns agree to deliver content as specified in the campaign brief within the agreed timeframe. Brands agree to provide accurate campaign details and process approvals in a timely manner. Luxor acts as a facilitator and is not responsible for the quality, legality, or accuracy of any content produced or any product or service offered by participating brands.

Creators receive compensation as specified in each campaign agreement. Luxor may charge platform fees which will be clearly disclosed before any transaction. Payments are processed securely through our payment partners and are subject to their terms and conditions. Taxes on earnings are the sole responsibility of the receiving party.

You may not use the platform to: (1) engage in deceptive, fraudulent, or misleading practices; (2) harass, abuse, or harm another person; (3) upload or transmit viruses or any other malicious code; (4) use any information obtained from the platform to contact, advertise to, or sell to any user without their consent; (5) interfere with or disrupt the integrity or performance of the platform; (6) circumvent, disable, or interfere with security-related features; or (7) use the platform in a manner inconsistent with applicable laws.

These Terms of Service remain in effect while you use the platform. We may terminate or suspend your account and access at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, third parties, or for any other reason. Upon termination, your right to use the platform will immediately cease.

The platform is provided on an 'as-is' and 'as-available' basis without any warranties of any kind, either express or implied. We do not warrant that the platform will be uninterrupted, error-free, or free of viruses or other harmful components. Your use of the platform is at your sole risk.

To the fullest extent permitted by law, Luxor shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of, or inability to use, the platform or its content, even if we have been advised of the possibility of such damages. Our total liability to you for any claim arising out of or relating to these Terms shall not exceed the greater of $100 USD or the amount you paid to Luxor in the three months prior to the claim.

We reserve the right to modify these Terms at any time. We will notify users of significant changes via email or a prominent notice on the platform. Your continued use of the platform after changes become effective constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.

These Terms shall be governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any dispute arising from these Terms shall first be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association.
